Terms & Conditions

By accessing or using MerchantHQ (the “Service”), operated by MerchantHQ, a The CoopDAO company, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

To use MerchantHQ, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You agree to notify us immediately at hello@thecoopdao.xyz if you suspect any unauthorized use of your account. MerchantHQ is not liable for any losses resulting from unauthorized account access due to your failure to safeguard your credentials.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

MerchantHQ offers subscription plans billed on a monthly basis. All fees are stated in US dollars and are non-refundable except as expressly set forth in these Terms or as required by applicable law.

Payments are processed securely by Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring monthly basis until you cancel. You can cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription pricing with 30 days' prior notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

If a payment fails, we may suspend your account until payment is resolved. We are not liable for any losses resulting from a suspended account due to non-payment.

You agree not to use MerchantHQ to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of any third party
• Transmit harmful, offensive, fraudulent, or deceptive content
• Attempt to gain unauthorized access to any systems or networks
• Scrape, crawl, or extract data from the Service in an unauthorized manner
• Interfere with or disrupt the integrity or performance of the Service
• Resell or sublicense access to the Service without our express written consent
• Use the Service for any unlawful purpose or in violation of these Terms

We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy without prior notice.

MerchantHQ and its underlying technology, software, brand, logo, and content are owned by MerchantHQ and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

You retain ownership of all data you provide or connect to the Service (e.g., store data from your e-commerce platforms). By using MerchantHQ, you grant us a limited, non-exclusive license to access and process your data solely to provide and improve the Service.

MerchantHQ connects to third-party platforms (such as Shopify, Amazon, Etsy, WooCommerce, Walmart, eBay, and TikTok Shop) to retrieve your store data. Your use of those platforms is governed by their respective terms of service. We are not responsible for the accuracy, availability, or actions of third-party platforms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Financial analytics and profit calculations provided by MerchantHQ are estimates based on data you provide and connect. They should not be relied upon as professional financial, tax, or accounting advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERCHANTHQ AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL MERCHANTHQ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNTS PAID BY YOU TO MERCHANTHQ IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless MerchantHQ and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English.

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the Service.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

We may revise these Terms from time to time. We will notify you of material changes via email or a prominent notice in the platform. The revised Terms will be effective upon posting. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
